Terms of Use
Last updated:
1. About These Terms
These Terms of Use govern your access to and use of horogrid.com and any pages, content, forms, or materials made available through the website.
HoroGrid is operated by HoroGrid Limited, a company registered in Hong Kong. In these Terms, “HoroGrid,” “we,” “us,” and “our” refer to HoroGrid Limited and the HoroGrid business.
By accessing or using this website, you agree to these Terms. If you do not agree, you should not use the website.
2. About HoroGrid
HoroGrid provides information relating to watch product development, engineering review, prototyping, sourcing, managed manufacturing, supplier coordination, quality control, and related project services.
HoroGrid works with a network of specialist manufacturing and service partners. Statements on this website do not mean that every component, process, test, or service is carried out directly by one HoroGrid-owned factory.
3. Website Information Is Not a Quotation or Offer
The website is provided for general business and informational purposes.
Nothing on the website constitutes:
a binding quotation;
an offer capable of acceptance;
a guarantee that a project can be manufactured;
a guarantee of price, minimum order quantity, availability, specification, performance, certification, lead time, or delivery date;
engineering approval;
production approval;
legal, financial, regulatory, or technical advice; or
a commitment by HoroGrid or any manufacturing partner to accept a project.
A project inquiry, form submission, email, meeting, preliminary review, or discussion does not by itself create a contract, agency relationship, partnership, fiduciary relationship, exclusivity obligation, or manufacturing commitment.
4. Separate Project Agreements
Any actual development, engineering, prototyping, sourcing, manufacturing, inspection, logistics, or other paid service will be governed by separate written documents, which may include:
a non-disclosure agreement;
development brief;
specification sheet;
quotation;
purchase order;
invoice;
prototype approval;
golden-sample approval;
quality-control standard;
production agreement; or
other written project terms.
Those documents may address matters including:
scope of work;
deliverables;
movement and component selection;
specifications and tolerances;
development fees;
tooling;
prototype costs;
minimum order quantity;
unit pricing;
payment terms;
revision limits;
intellectual property;
confidentiality;
testing;
quality criteria;
acceptance;
warranty;
delivery;
logistics;
taxes;
cancellation; and
liability.
If a separately signed project agreement conflicts with these Website Terms, the separately signed agreement will govern the relevant project.
5. Eligibility and Lawful Use
You may use the website only for lawful purposes.
You must not:
violate any applicable law or regulation;
attempt to gain unauthorised access to the website or related systems;
interfere with the security, availability, or operation of the website;
introduce malware, harmful code, automated abuse, or excessive requests;
scrape, copy, or extract website content for unauthorised commercial use;
impersonate another person or misrepresent your authority;
submit unlawful, infringing, fraudulent, deceptive, defamatory, or harmful material;
use the website to develop, source, or manufacture counterfeit goods; or
submit designs, logos, brand names, technical files, or other materials that you do not have the right to use.
6. Intellectual Property in the Website
Unless otherwise stated, the website and its contents—including:
the HoroGrid name and branding;
text;
layout;
graphics;
images;
illustrations;
watch concepts;
engineering visuals;
diagrams;
icons;
videos; and
design elements—
are owned by or licensed to HoroGrid and are protected by applicable intellectual-property laws.
You may view and use the website for internal business evaluation.
You may not reproduce, republish, modify, distribute, sell, license, create derivative works from, or commercially exploit website content without prior written permission from HoroGrid or the relevant rights holder.
No licence to any trademark, copyright, design, patent, trade secret, technical process, or other intellectual property is granted except as expressly stated in writing.
7. Materials You Submit
You retain ownership of the designs, drawings, files, specifications, brand materials, and other content that you submit to us, subject to any rights held by third parties.
By submitting material to HoroGrid, you grant us a limited, non-exclusive permission to:
receive and store the material;
review it;
discuss it internally;
communicate with you about it;
assess potential manufacturability and project requirements; and
share relevant portions with appropriate advisers or specialist partners where reasonably necessary to evaluate your inquiry.
This permission is limited to reviewing, responding to, and, where separately agreed, carrying out the relevant project.
We will not publicly present your submitted project materials as HoroGrid promotional or portfolio content without appropriate permission.
You represent that:
you own the submitted material or are authorised to submit it;
our permitted review of the material will not infringe another person’s rights;
the material does not contain unlawful or malicious content; and
you have obtained any permissions needed for personal data relating to other individuals.
8. Confidential Information and NDAs
Submitting information through the website, email, or an introductory call does not automatically create a formal non-disclosure agreement.
We will use reasonable care in handling non-public project information, but formal confidentiality obligations should be recorded in a written non-disclosure agreement or project agreement.
Before sending highly sensitive materials, including proprietary mechanisms, unreleased product files, manufacturing secrets, or commercially critical CAD data, you should request an appropriate confidentiality arrangement and secure file-transfer method.
Information will not be treated as confidential to the extent that it:
is already public through no breach by HoroGrid;
was lawfully known to us without confidentiality restrictions;
is received lawfully from another source;
is independently developed without use of the submitted confidential information; or
must be disclosed by law, regulation, court order, or competent authority.
9. Development Studies and Portfolio Content
The website may contain:
development studies;
product concepts;
illustrative engineering scenarios;
visualisations;
prototype-style imagery;
process demonstrations; and
selected commercial work.
Unless expressly identified as a completed client project, content should not be interpreted as confirmation that a particular watch has entered commercial production, passed a specific certification, achieved a stated performance level, or been manufactured for a named client.
Concepts and development studies are presented to demonstrate HoroGrid’s approach to product, engineering, manufacturing, and quality-control challenges.
10. Manufacturing, Components, and Third Parties
Watch development and manufacturing may depend on:
third-party movement manufacturers;
component suppliers;
material suppliers;
specialist workshops;
assembly facilities;
testing providers;
logistics providers;
regulatory requirements; and
availability of production capacity.
Availability, pricing, minimum order quantities, tolerances, materials, finishes, testing capability, lead times, and other conditions may change.
Any specification, performance target, waterproof rating, movement option, material, certification, production volume, cost, or delivery estimate is subject to written confirmation and the relevant project agreement.
HoroGrid is not responsible for third-party products or services except to the extent expressly stated in a separate written agreement.
11. Accuracy of Website Content
We make reasonable efforts to keep website content accurate and current, but we do not guarantee that all information is:
complete;
error-free;
current;
applicable to every project; or
suitable for a particular commercial or technical purpose.
Website content may be changed, corrected, removed, or updated without notice.
You should not make purchasing, engineering, investment, compliance, or production decisions solely on the basis of general website content.
12. Website Availability and Security
The website is provided on an “as available” basis.
We do not guarantee that the website will always be:
available;
uninterrupted;
secure;
free from errors;
compatible with every device or browser; or
free from harmful components introduced by third parties.
We may suspend, restrict, modify, or discontinue any part of the website at any time.
13. Third-Party Links and Services
The website may contain links to third-party websites or services.
Third-party links are provided for convenience or reference only. HoroGrid does not control and is not responsible for the availability, accuracy, security, content, terms, privacy practices, or conduct of third parties.
Access to third-party websites is at your own risk and is subject to the relevant third party’s terms and policies.
14. Disclaimers
To the maximum extent permitted by applicable law, the website and its content are provided without express or implied warranties, including warranties of:
merchantability;
fitness for a particular purpose;
non-infringement;
accuracy;
availability; and
satisfactory quality.
Nothing in these Terms excludes a warranty, right, remedy, or obligation that cannot lawfully be excluded.
15. Limitation of Liability
To the maximum extent permitted by applicable law, HoroGrid and its officers, personnel, contractors, advisers, and service providers will not be liable for indirect, incidental, special, punitive, exemplary, or consequential loss arising from or connected with use of the website.
This includes loss of:
profits;
revenue;
business opportunity;
anticipated savings;
goodwill;
data; or
business interruption.
Nothing in these Terms excludes or limits liability for fraud, fraudulent misrepresentation, wilful misconduct, death or personal injury caused by negligence, or any other liability that cannot lawfully be excluded or limited.
Liability connected with an actual paid project will be governed by the relevant written project agreement rather than this website-only limitation.
16. Indemnity
To the extent permitted by law, you agree to indemnify HoroGrid against reasonable losses, claims, liabilities, and expenses arising from:
material you submit without the necessary ownership or permission;
your infringement of another person’s intellectual-property or privacy rights;
your unlawful use of the website; or
your material breach of these Terms.
17. Suspension or Restriction
We may restrict or suspend access to the website where we reasonably believe that a user:
has breached these Terms;
poses a security risk;
is using the website unlawfully;
is attempting to interfere with our systems; or
is causing harm to HoroGrid, its partners, or other users.
18. Changes to These Terms
We may update these Terms to reflect changes in:
the website;
our business;
our practices;
applicable law; or
the services and technologies we use.
The revised Terms will be published on this page with an updated date.
Your continued use of the website after revised Terms are published constitutes acceptance of the updated Terms to the extent permitted by applicable law.
19. Governing Law and Jurisdiction
These Terms and any non-contractual dispute arising from or connected with the website are governed by the laws of the Hong Kong Special Administrative Region.
Subject to any mandatory law or separately agreed dispute-resolution procedure, the courts of Hong Kong will have exclusive jurisdiction over disputes arising from or connected with these Terms or use of the website.
20. General Provisions
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in effect.
A failure or delay by HoroGrid to enforce a provision does not waive the right to enforce it later.
You may not transfer your rights or obligations under these Terms without our prior written consent. HoroGrid may transfer its rights and obligations in connection with a reorganisation, sale, financing, or transfer of the relevant business.
These Terms do not create a partnership, joint venture, employment, fiduciary, or agency relationship.
